Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Logic Framework website at logicframework.com and any informational or pre-engagement services made available through it (collectively, the "Site"). Engagements for consulting, professional services, custom development, or other deliverables are governed by a separate written agreement, statement of work, or master services agreement (each, an "Engagement Agreement") signed by both parties. In the event of any conflict between these Terms and an Engagement Agreement, the Engagement Agreement controls.

1. Agreement to Terms

By accessing or using the Site, you agree to be bound by these Terms and all applicable laws and regulations. If you do not agree with any part of these Terms, do not access or use the Site. These Terms apply to all visitors, users, and others who access the Site.

2. Services Description

Logic Framework provides professional services and software, including without limitation:

  • Program management and strategic procurement for enterprise security projects
  • Physical security systems architecture, design, and integration, including low-voltage systems work performed under California CSLB License No. 1090056 (Classification C-7, Low Voltage Systems)
  • Software development and enterprise SaaS platforms for compliance-driven environments
  • Cloud and IT infrastructure design and implementation
  • Compliance and governance advisory, including readiness assessment and audit support for frameworks such as SOC 2, NIST CSF, and FIPS 140-2

The scope, deliverables, fees, timelines, and acceptance criteria for any specific engagement are defined exclusively in the applicable Engagement Agreement. Nothing on the Site, including service descriptions, marketing copy, case studies, metrics, certifications, or licensure references, constitutes a binding commitment, warranty, or offer to perform services.

Logic Framework provides advisory and implementation services with respect to compliance frameworks; it does not act as an independent auditor, certifying body, or accreditation authority. Certifications under frameworks such as SOC 2 are issued only by qualified independent assessors, not by Logic Framework.

3. Acceptable Use of the Site

You agree not to use the Site to:

  • Violate any applicable law, regulation, or third-party right
  • Submit false, misleading, or fraudulent information through any contact form or interactive feature
  • Attempt to gain unauthorized access to the Site, related systems, or any data not intended for you
  • Probe, scan, or test the vulnerability of the Site or circumvent any security or authentication measure
  • Introduce viruses, malware, or other harmful code, or interfere with or disrupt the Site's operation
  • Scrape, crawl, or harvest content for use in automated systems, including model training, without prior written consent
  • Use the Site to send unsolicited communications or for any commercial purpose not authorized by Logic Framework

4. Engagements and Payment Terms

4.1 Engagement Agreements

All paid services are performed pursuant to a written Engagement Agreement that sets forth scope, fees, payment schedule, and other commercial terms. No services are deemed engaged or authorized until both parties have signed the applicable Engagement Agreement.

4.2 Invoicing

Unless otherwise specified in an Engagement Agreement, invoices are due net thirty (30) days from the invoice date. Past-due amounts accrue interest at the lesser of one and one-half percent (1.5%) per month or the maximum rate permitted by law. Client is responsible for all reasonable costs of collection, including attorneys' fees.

4.3 Currency and Taxes

All fees are denominated in United States Dollars (USD) unless otherwise stated. Fees are exclusive of all sales, use, excise, value-added, and similar taxes, which are the responsibility of the Client, other than taxes on Logic Framework's net income.

4.4 Expenses

Reasonable, pre-approved out-of-pocket expenses (including travel, lodging, and third-party software or licensing) incurred in connection with an engagement are billed at cost and are payable in addition to fees.

5. Cancellation and Refunds

5.1 Termination of Engagements

Either party may terminate an engagement as set forth in the applicable Engagement Agreement. Upon termination, Client remains responsible for fees earned and expenses incurred through the effective termination date, including for work in progress.

5.2 Refunds

Fees for services performed are non-refundable. Refunds for unearned amounts are considered on a case-by-case basis and are governed by the terms of the applicable Engagement Agreement. Refund requests should be sent to info@logicframework.com with the relevant engagement details.

5.3 Scheduled Consultations

Discovery calls and consultations may be rescheduled with at least twenty-four (24) hours' notice. Late cancellations or no-shows may be subject to a cancellation fee.

6. Intellectual Property

6.1 Site Content

All content on the Site, including text, graphics, logos, images, software, and the "Logic Framework" name and marks, is owned by or licensed to Logic Framework and is protected by United States and international intellectual property laws. No license to use any such content is granted except as expressly stated in these Terms.

6.2 Engagement Deliverables

Ownership and license rights with respect to deliverables produced under an engagement are governed exclusively by the applicable Engagement Agreement. Absent a written assignment, Logic Framework retains all right, title, and interest in its pre-existing materials, methodologies, frameworks, tools, and know-how, including any improvements or derivatives thereof.

6.3 Feedback

Any feedback, suggestions, or ideas you provide to Logic Framework regarding the Site or services may be used by Logic Framework without restriction or obligation to you.

7. Confidentiality

Logic Framework treats information identified as confidential, or that a reasonable person would understand to be confidential, with the standard of care set forth in the applicable Engagement Agreement or, in the absence of one, with no less than reasonable care. Pre-engagement discussions may be subject to a separate non-disclosure agreement.

8. Third-Party Services and Links

The Site may use or link to third-party services and platforms, including but not limited to payment processors, analytics providers, hosting and content delivery networks, and security verification services. Logic Framework is not responsible for the availability, content, security, or practices of any third-party service. Use of any third-party service is subject to that provider's own terms and privacy policy.

9. Disclaimer of Warranties

The Site and any information, content, or services made available through it are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, statutory, or otherwise. To the maximum extent permitted by law, Logic Framework disclaims all warranties, including without limitation any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and uninterrupted or error-free operation. Logic Framework does not warrant that the Site will be secure, available at any particular time or location, or free of viruses or other harmful components.

No advice or information, whether oral or written, obtained from the Site or from Logic Framework creates any warranty not expressly stated in these Terms or an Engagement Agreement.

10. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Logic Framework, its officers, directors, employees, contractors, agents, or affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, use, goodwill, or other intangible losses, arising out of or in connection with the Site, these Terms, or any services, whether based in contract, tort (including negligence), strict liability, or any other theory, even if Logic Framework has been advised of the possibility of such damages.

In no event shall Logic Framework's total cumulative liability arising out of or relating to the Site or these Terms exceed the greater of (a) the total fees paid by you to Logic Framework under the applicable Engagement Agreement during the twelve (12) months preceding the event giving rise to the claim, or (b) one hundred United States Dollars (US$100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. Nothing in these Terms limits any liability that cannot be limited under applicable law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Logic Framework and its officers, directors, employees, contractors, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms; (b) your violation of any law or third-party right in connection with your use of the Site; or (c) any information or materials you submit through the Site. Indemnification obligations relating to paid engagements are governed by the applicable Engagement Agreement.

12. Compliance and Export Restrictions

Certain services and technologies discussed on the Site may be subject to United States export control laws and regulations and to the laws of the jurisdiction in which they are received. You represent that you are not located in, under the control of, or a national or resident of any country or on any list to which the United States has prohibited export, and that you will comply with all applicable export and re-export restrictions.

Client is solely responsible for ensuring its use of any deliverable, advice, or service complies with all laws applicable to its industry and jurisdiction.

13. California Contractor Disclosure

Physical installation work involving low-voltage security systems is performed pursuant to California Contractors State License Board (CSLB) License No. 1090056 (Classification C-7, Low Voltage Systems). The license is verifiable through the CSLB at www.cslb.ca.gov. Logic Framework only contracts to perform installation work within the scope of its licensed classification and within California or other jurisdictions in which it is properly licensed or exempt. Work outside the scope of its license, or in jurisdictions where it is not licensed, will be performed by qualified subcontractors or referred to qualified third parties.

Advisory, software, cloud infrastructure, and compliance services do not require a contractor's license and are not performed under the C7 license.

14. Service Level Commitments

Service level commitments, including uptime, response, and support obligations, apply only when expressly set forth in an Engagement Agreement. The Site itself is provided without any service level commitment.

15. Governing Law

These Terms and any dispute arising out of or relating to them or the Site are governed by the laws of the State of California, without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

16. Dispute Resolution; Arbitration; Class Action Waiver

16.1 Informal Resolution

Before initiating any formal proceeding, the parties agree to attempt in good faith to resolve any dispute through written notice to info@logicframework.com and a thirty (30) day informal negotiation period.

16.2 Binding Arbitration

Any dispute not resolved informally shall be finally resolved by binding arbitration administered by JAMS or the American Arbitration Association under its applicable commercial rules, before a single arbitrator, in Los Angeles County, California. Judgment on the award may be entered in any court of competent jurisdiction.

16.3 Class Action Waiver

The parties agree that any dispute resolution proceeding will be conducted only on an individual basis and not in a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than in arbitration, the parties each waive any right to a jury trial.

16.4 Equitable Relief

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

17. Changes to These Terms

Logic Framework may modify these Terms at any time by posting the revised version on the Site and updating the "Last Updated" date. Material changes will, where reasonably practicable, be communicated through a notice on the Site. Continued use of the Site after the effective date of any change constitutes acceptance of the modified Terms.

18. Miscellaneous

18.1 Entire Agreement

These Terms, together with any applicable Engagement Agreement, constitute the entire agreement between you and Logic Framework regarding the subject matter hereof and supersede all prior or contemporaneous communications.

18.2 Severability

If any provision of these Terms is held invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect.

18.3 No Waiver

Failure by Logic Framework to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

18.4 Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without Logic Framework's prior written consent. Logic Framework may assign these Terms without restriction. Any prohibited assignment is void.

18.5 Force Majeure

Logic Framework will not be liable for any failure or delay in performance caused by events beyond its reasonable control, including acts of God, war, terrorism, civil unrest, labor disputes, governmental action, internet or utility outages, supplier failures, or pandemics.

18.6 Independent Contractor

Logic Framework performs all services as an independent contractor. Nothing in these Terms creates a partnership, joint venture, agency, franchise, or employment relationship between the parties.

18.7 Notices

Notices to Logic Framework should be sent to info@logicframework.com. Logic Framework may provide notices to you by email to any address you have provided or by posting on the Site.
